Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Remibee marketplace, operated by UAB “Promo Vision” (VAT LT100005792017), a company registered in Lithuania (“Remibee”, “we”, “us”). By creating an account or using the platform, you agree to these Terms.

1. The marketplace

Remibee is a B2B marketplace that connects businesses buying and selling bulk ingredients and white-label products. Remibee is not a party to transactions between members — it provides the platform, payment facilitation and documentation tools. Remibee does not manufacture, own, sell or supply any of the products listed.

2. Eligibility & accounts

The platform is for businesses only. You must be at least 18 and authorised to act for your company. You are responsible for the accuracy of your registration details (including VAT number) and for all activity under your account, and for keeping your credentials secure.

3. Anonymity, neutral fulfilment & non-circumvention

Remibee hides buyer and seller identities from one another by design; this is the defining feature of the marketplace. The following obligations apply to all members, and by publishing a listing or placing an order you agree to them.

3.1 No identifying materials (sellers). In connection with any order placed through Remibee, you must not include — on or within any product, packaging, shipment, label or accompanying material — anything that identifies you or is intended to enable the other party to identify or contact you directly. This includes, without limitation: company names, logos, trade marks or branding; business cards, letterhead, branded invoices or delivery notes, catalogues, price lists, marketing inserts or branded samples; and any contact details (telephone, email, website, social media or physical addresses). Shipments must use neutral, unbranded packaging, and sender/return details must not reveal your identity beyond what carrier or customs law strictly requires.

3.2 No circumvention (all members). You must not use Remibee to identify a counterparty and then arrange, solicit or accept a transaction with them outside the platform, nor otherwise bypass Remibee, in relation to any dealing that originated on Remibee — during your use of the platform and for 12 months after your last related interaction on it. All communication must stay within Remibee’s messaging until identities are lawfully exchanged to complete a transaction.

3.3 Necessary disclosures. Some information may unavoidably reveal identity where it is required to complete a transaction or to comply with law — for example certificates of analysis, regulatory or customs documentation, and shipping details exchanged after an order is agreed. Sharing such information for those purposes is permitted; using it to circumvent Remibee under 3.2 is not.

3.4 Consequences of breach. Breaches are assessed by Remibee acting reasonably and may result, depending on severity, in: a written warning and required correction; suspension of your account; withholding or forfeiture of pending payouts; liquidated damages representing a reasonable pre-estimate of Remibee’s loss; termination and permanent removal from the platform; and liability for the commission Remibee would otherwise have earned. Buyers are encouraged to report any identifying materials received, and Remibee may place test orders and audit shipments to verify compliance.

4. Listings & conduct

Sellers are responsible for the accuracy, legality, safety, labelling and compliance of the products they list and the documentation they provide. You agree not to list prohibited, unsafe, mislabelled or non-compliant goods, and to comply with all laws and regulations applicable to your markets.

5. Payments & commission

Payments are processed through Stripe Connect. Remibee charges a flat 5% commission, added on top of the seller’s price; the buyer pays a single all-in price. Payouts are released to sellers on completion in the marketplace’s base currency. Your use of payments is also subject to Stripe’s terms.

6. Compliance

Responsibility for regulatory compliance — including product registration, claims, labelling, customs and import/export — rests with the buying and selling businesses. Remibee provides documentation tools but does not warrant the accuracy of member-supplied certificates or data.

7. Intellectual property

Remibee and its logos are our property. Members retain rights to their own content but grant Remibee a licence to display it on the platform for the purpose of operating the marketplace.

8. Disclaimers & liability

The platform is provided “as is”. To the maximum extent permitted by law, Remibee disclaims all warranties and is not liable for the quality, safety or legality of listed products, or for disputes between members. Remibee’s total aggregate liability arising out of or in connection with these Terms or your use of the platform is limited to the total commission Remibee earned from your transactions during the 12 months before the event giving rise to the claim, and Remibee is not liable for any indirect, special or consequential loss, or for loss of profit, revenue, business, data or goodwill.

9. Suspension & termination

We may suspend or terminate accounts that breach these Terms or applicable law.

10. Changes

We may update these Terms; continued use after an update constitutes acceptance.

11. Governing law

These Terms are governed by the laws of Lithuania, and disputes are subject to the courts of Lithuania.
